0. Definitions and Scope
For purposes of these Terms of Service (“Terms”):
1. Acceptance of Terms
By accessing or using the Services provided through the Sites, you agree to comply with and be bound by these Terms. ClimateEngine.org recommends checking Terms periodically. If you disagree with the provisions of the Terms at any time, your sole remedy is to terminate your use of the Services.
ClimateEngine.org reserves the right, at any time, without notice to you, to update, revise, supplement, and otherwise modify the Terms and to impose new or additional rules, policies, terms, or conditions on your use of the Services.
2. License and Use Rights
As long as you follow these Terms, ClimateEngine.org grants you a non-exclusive, non-transferable, revocable license to use the Services for lawful purposes. The Services may be used for both non-commercial and commercial activities, subject to compliance with these Terms and any applicable data source licenses.
Use of datasets accessed through the Services is governed by the Third-Party Terms of Use associated with the applicable Third-Party Data Provider. The Third-Party Terms of Use may restrict redistribution, modification, or commercial use of specific datasets or Outputs derived from them. Users are responsible for reviewing and complying with the applicable data terms before sharing, publishing, or using Outputs.
ClimateEngine.org also reserves the right, in its sole discretion, to introduce or modify pricing or paid tiers for some or all of the Services at any time.
3. Content Ownership
Excluding “Outputs”, all platform content, including but not limited to text, graphics, and software, provided through the Services is owned by ClimateEngine.org or its licensors. You may not modify, distribute, or reproduce any such content without permission.
“User Content” is and remains owned by you but is subject to the license provided for in Section 5 below. Maps, charts, data, and other summaries that you create using the Services (i.e., Outputs) are owned by you, in accordance with any applicable Third-Party Terms of Use. However, your ownership applies only to the Outputs you generate, not to the underlying datasets accessed through the Services.
4. Privacy Policy
ClimateEngine.org's Privacy Policy explains how we collect, use, and protect your information. By using the Services, you consent to the collection and use, storage, or sharing of your data as outlined in the Privacy Policy.
5. User Content
In consideration of the Services, you grant ClimateEngine.org a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to collect, copy, distribute, process, use and sublicense the User Content solely for purposes of providing, securing, operating and improving the Services.
6. Disclaimer of Warranties
The Services are provided "as is" and without warranties, express or implied, of any kind. Without limiting the foregoing, ClimateEngine.org does not warrant the accuracy, utility, completeness, or reliability of the Services or its content. ClimateEngine.org expressly disclaims all warranties, including those of merchantability, fitness for a particular purpose, and non-infringement. ClimateEngine.org does not warrant that the Services will be uninterrupted, error-free, or available at all times. Some data or content is provided by third parties, and ClimateEngine.org makes no warranties regarding the accuracy, utility, completeness or reliability of such third-party data or services. By using the Services, you assume all responsibility and risk associated with them. ClimateEngine.org is not liable for any damages resulting from the use or misuse of the Services.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall ClimateEngine.org be responsible or liable to you for any indirect, incidental, or consequential damages arising out of your use of the Services, regardless of whether such damages arise from claims based upon contract, negligence, tort, warranty or otherwise, and regardless of whether ClimateEngine.org was advised or had reason to know of the possibility of incurring such damages in advance.
8. User Obligations
You agree not to use the Services for any unlawful or prohibited purpose. You also agree not to disrupt the Services or infringe on others' rights. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree not to attempt to gain unauthorized access to any part of the Services, or to use the Services in a way that infringes on the intellectual property rights of ClimateEngine.org or any third party. You are responsible for ensuring that your use of any datasets made available through the Services, and any Outputs you generate, complies with the applicable Third-Party Terms of Use.

ClimateEngine.org reserves the right to modify these Terms at any time without notice. Continued use of the Services after changes constitutes acceptance of the new Terms.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, and venue for any disputes shall be exclusively vested in the state and federal courts located in the State of Nevada. Any disputes arising out of or relating to these Terms or the Services shall first be attempted to be resolved informally before resorting to court action.
11. Termination
ClimateEngine.org may terminate or suspend access to the Services immediately for any reason, including breach of these Terms. Upon termination, your right to access and use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination (such as ownership, warranty disclaimers, and limitations of liability) shall remain in effect notwithstanding such termination.
